1. Acceptance of Terms

By accessing or using Dealer Lead Connect ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Dealer Lead Connect is a lead marketplace that connects auto dealerships seeking insurance coverage with licensed insurance agents. We facilitate the exchange of business contact information ("Leads") between dealerships and agents.

3. User Accounts

For Agents: Agent accounts are created by invitation only. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

For Dealerships: By submitting a lead, you consent to being contacted by insurance agents regarding your insurance needs.

4. Lead Purchases and Refunds

Agents may purchase leads using wallet credits. All lead purchases are final, except in the following circumstances:

• Phone number is wrong or disconnected
• Business does not exist at the provided address
• Contact person does not work at the business
• Information appears to be fraudulent
• Duplicate lead (you already purchased this lead)

Refund requests must be submitted within 48 hours of purchase through the dispute system. Approved refunds are credited to your wallet balance, not refunded to your original payment method.

5. Dispute Policy

We review all disputes within 24-48 business hours. When filing a dispute, you must provide a detailed description of the issue. We reserve the right to:

• Approve or deny disputes at our sole discretion
• Request additional evidence or documentation
• Issue partial refunds when appropriate
• Restrict or terminate accounts that file excessive or fraudulent disputes

6. Acceptable Use

You agree NOT to:

• Submit false or misleading information
• Share or resell lead information to third parties
• Use automated systems to access the Service without permission
• Attempt to circumvent security measures
• Harass or spam contacts from purchased leads
• Use the Service for any illegal purpose

7. Lead Quality Disclaimer

While we make reasonable efforts to verify lead information, we do not guarantee the accuracy, completeness, or quality of any lead. Leads are provided "as is." The conversion of leads into customers depends on many factors outside our control, including your sales approach, pricing, and service quality.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALER LEAD CONNECT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Dealer Lead Connect, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

10. Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, any remaining wallet balance may be forfeited if termination is due to policy violations.

11. Modifications to Terms

We may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms. We will make reasonable efforts to notify users of significant changes.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law provisions.
